Shadow AI in the Agentic Era: Who Owns The Risk Governance?
Just last week, I shared my thoughts on the rise of BYOA (Bring Your Own Agent) and how we’re stepping into an agentic economy running on trillions of autonomous agents. That post focused on the vast scale of what’s ahead. This time, I want to dive into the governance gap created by Shadow AI, which is already a reality today, and discuss what steps we’re taking to address it.
Shadow AI isn’t a new concept. Back in 2023, we saw the first wave, which was more passive: engineers were using generative AI tools, feeding proprietary data into external systems, and inadvertently creating data exposure risks that many organizations were slow to catch on to. In hindsight, that wave was manageable, even if it felt disruptive at the time.
Now, we’re facing a different kind of wave. One that’s active. Employees are deploying agents that operate on their own, retain contextual memory, access enterprise systems, and execute actions across APIs without needing explicit approval at every turn. This is BYOA on a larger scale. It’s Shadow AI with a mind of its own, and the Responsible AI policies your organization put in place over the last 18 months weren’t designed to handle this.
My colleagues Mark Lambert and Karthik Swarnam have recently tackled the issues of accountability and the governance crisis brewing within enterprise security programs. Mark posed a crucial question: when AI finds every vulnerability, who is accountable for what happens next? That’s definitely a question worth asking.
But I want to raise an even earlier question: who is responsible for the AI that’s doing the identifying? And what about the countless other AI tools, agents, MCP servers, models, and workflows that are currently operating across your enterprise, with no clear owner, no record of approval, and no enforcement mechanisms in place?

According to Gartner, “by 2027, 50% of business decisions will be augmented or automated by AI agents for decision intelligence.” The organizations that arrive at that milestone without operational AI governance will not just have a compliance problem. They will have thousands of autonomous workflows operating across their environments with no clear chain of accountability connecting them back to a business decision.
Shadow AI no longer means an employee using an unauthorized tool. It means an autonomous agent operating in your environment, accessing your data, making decisions on your behalf, with no owner, no approval record, and no enforcement mechanism. That is an operational control failure, not a policy gap.
Why responsible AI policies cannot keep pace with BYOA
The problem with responsible AI policies is not the intent behind them. The problem is the assumption baked into them: that AI adoption happens at a pace your governance process can follow.
BYOA breaks that assumption completely. Agents are cheap to build, trivial to deploy, and invisible to traditional procurement and security review. An employee does not need IT approval to connect a workflow agent to the tools they already use. They need 20 minutes and a credit card.
The result is a governance gap that widens every day your organization relies on policy attestation, periodic reviews, and manual discovery to manage AI risk. By the time a quarterly review surfaces an unsanctioned agent, that agent has already processed months of business data, made thousands of decisions, and created an accountability record that exists nowhere in your systems.
Responsible AI without operational control is not governance. It is documentation.
The three blind spots that turn responsible AI into a liability
Security and risk leaders consistently describe the same three gaps when they lack operational AI governance:
Visibility blind spots. Most AI inventories are built through manual discovery, vendor questionnaires, or one-time assessments. SaaS platforms add AI features across routine product updates. Developers call model APIs that never get surfaced in procurement reviews. As a result, the inventory (e.g., Shadow AI apps, agents, MCP servers) is out of date before it is complete.
Ownership blind spots. Even when AI usage is known, accountability is rarely assigned. Security owns risk assessment. IT manages procurement. Legal reviews data handling. Business units drive adoption. No single function holds accountable ownership of an AI use case from initial adoption through ongoing risk management. Unowned AI is just Shadow AI by another name.
Decision blind spots. AI risk signals exist across your current security stack: EDRs, SASE platforms, identity systems, firewalls, and cloud tools all generate detections related to AI usage. But in most organizations those signals enter a queue, generate alerts, create tickets, and age without resolution. Risk accumulates with no owner and no enforced outcome.
The CISO who claims their organization has responsible AI governance should be able to answer three questions immediately: Where is every AI asset deployed right now? Who is accountable for each one? What governed decisions were made about AI risk in the last 30 days? If any of those questions requires a manual scramble, you do not have governance. You have intent.
The accountability gap no one has solved yet
Mark’s blog makes a precise and important argument: the real challenge after AI-native scanning arrives (at immense scale) is not the detection capability itself. It is ownership, prioritization, audit trails, and remediation workflows. The organizations that adopt powerful AI scanning without building governance infrastructure around it will be buried under findings they cannot act on accountably.
He is absolutely right. And that same accountability gap exists one layer up, governing the AI tools themselves.
Your security program now needs to answer two accountability questions. First: who is accountable for acting on what AI finds? Second: who is accountable for the AI doing the finding, and for every other AI operating across the enterprise? Both questions require the same underlying infrastructure: visibility into what exists, defined ownership for each asset, and governed decision workflows that produce auditable outcomes.
As Karthik Swarnam outlined in his blog post on ecosystem disruption, the detection layer is commoditizing. Investing in an independent governance layer above detection will help your security program compound in value.
That argument applies directly to AI governance. Tools that detect AI usage tell you what exists. They do not tell you who owns it, whether it was approved, what risk was accepted, or whether that risk is actively managed. Detection without governance produces a longer list of concerns, not a shorter one.

Responsible AI will remain an intention until enterprises build the operational infrastructure to back it up. Shadow AI does not disappear when you publish a policy. It expands into the space between your intent and your controls.
Proving responsible AI requires a system of action, not a statement of principles. The enterprises that build that system now will not just satisfy the board. They will be ahead of the regulatory and business requirements already taking shape.
The enterprises that get ahead of this are building the governance layer now, before regulation forces it and before an ungoverned agent creates the incident that makes the accountability question unavoidable. Your responsible AI commitment is only as credible as the controls behind it.
