Every CISO I speak with today is wrestling with the same tension: employees and business units are adopting AI tools faster than security teams can assess them, yet the pressure from leadership is to enable AI adoption, not slow it down. You’re navigating two organizational imperatives: accelerate AI for competitive advantage, and protect the enterprise from the risks that come with it.

The hard truth is that you can’t resolve that tension by banning AI tools or drafting a governance policy that lives in a SharePoint folder. The only viable path through that tension is building a governance system that moves at the speed of adoption itself.

Shadow AI is not a future problem—It’s already here

Before you can govern AI adoption, you need to confront what’s already happening in your environment. Gartner® Research from 2025 surveying 302 cybersecurity leaders found that “69% of organizations suspect or have evidence that employees are using prohibited public GenAI” tools. A Microsoft-commissioned study of UK workers found that 71% of employees have used unapproved consumer AI tools at work, with more than half doing so every week.

This isn’t edge-case behavior. It’s systematic. And the financial exposure is real. 

What makes shadow AI harder to govern than shadow IT isn’t just scale—it’s the nature of the exposure. When an employee uploads a document to an unapproved cloud storage service, they move data. When they feed the same document into an unvetted AI model, that data may be logged, processed, used for model retraining, and permanently outside your control. The risk vector is fundamentally different.

Shadow AI doesn’t just move data outside your control—it processes, learns from, and transforms it. The exposure isn’t bounded by a single incident; it compounds with every unapproved model interaction.

The governance gap is bigger than most CISOs realize

Here’s the part that should concern you most: the gap between AI adoption and AI governance maturity is wide, and it’s widening. 

Your organization almost certainly falls into this gap. Traditional security approaches weren’t built for this problem. Plus, AI tools don’t require procurement cycles as many operate through browser extensions, SaaS embeddings, or personal API keys that bypass corporate network controls entirely. And increasingly, AI capabilities are embedded into SaaS tools your organization already approved – added quietly in a product update, with no new purchase order to trigger a review. Your CASB may flag a known endpoint, but it won’t catch the developer who wired a personal OpenAI key into a production build pipeline until something breaks. It won’t catch the project management tool that shipped an AI assistant in a feature release last quarter.

The ownership question compounds this further. If you don’t have a clear mandate and a system that enforces it, you’re governing AI risk by committee, which means no one is really governing it.

Where CISOs should lean in, and where they should step back

This is the CISO-to-CISO conversation worth having: not every AI risk requires your direct intervention, and trying to own all of it will paralyze both your team and the business.

Where you need to lead:

  • Inventory and visibility. You cannot govern what you cannot see. This starts with knowing where AI actually lives in your environment, across applications, code, SaaS platforms, APIs, models, MCP servers, and agentic workflows. A point-in-time audit won’t cut it though, especially in environments where AI capabilities are being embedded into existing SaaS tools without a new procurement event. You need continuous, automated discovery.
  • Ownership and accountability. For every AI deployment, there should be a designated owner, an approval record, and documented accountability for ongoing risk. Orphaned AI tools (often approved once, but never reviewed again) are one of the highest-risk categories in any enterprise environment.
  • Policy enforcement at scale. Manual approval workflows break under AI adoption velocity. If your process requires a ticket to legal and a two-week review, employees will route around it. Governance needs to be automated, policy-driven, and fast enough that sanctioned approval is the easier path.
  • Board-ready evidence. When your board asks about AI risk exposure, you need defensible, auditable answers – not summaries assembled from spreadsheets. Build the audit trail from the start, not after the fact.

Where you should step back:

  • Triaging individual AI tool requests should not be a CISO function. Establish clear criteria, automated controls, and escalation paths so your team isn’t the bottleneck.
  • You don’t need to evaluate every LLM or AI model in the market. Set governance criteria, including encryption standards, data residency requirements, training data policies, and access controls, and let procurement and business units operate within those guardrails.
  • AI ethics and acceptable use policy aren’t solely a security problem. Pull legal, compliance, and HR into that conversation so governance doesn’t sit on your team alone.

The goal isn’t to be the department that says no to AI. It’s to build the system that lets your organization say yes – safely, at scale – and with the evidence to back it up.

The 5 requirements for defensible AI governance

Building a defensible AI governance program requires more than a policy document. It requires a system of action: one that continuously ingests AI usage signals from across your heterogeneous environment, converts those signals into owned decisions, and maintains auditable records of every governance action taken.

That system needs to do five things well:

  1. Deliver comprehensive visibility into every AI deployment across apps, code, SaaS, infrastructure, APIs, models, and agents including the ones IT didn’t approve.
  2. Establish ownership for every AI asset, with clear records of who approved it, who is accountable, and when it was last reviewed.
  3. Identify high-risk and non-compliant AI usage automatically and route it to the right decision-makers and not just to a shared inbox.
  4. Automate policy enforcement so controls don’t depend on human review cycles that can’t scale to the pace of adoption.
  5. Produce audit-ready evidence continuously, not on demand the week before a board meeting.

Without those five capabilities in place, you’re managing AI governance reactively. And reactive governance, at the pace AI is being adopted, is not governance at all.

Putting AI governance into practice

The five requirements above aren’t aspirational, they’re operational. The question is whether you build toward them incrementally with point tools or whether you deploy a platform that addresses them as a connected system.

The core architectural challenge is that AI exposure doesn’t respect silos. For example, an unapproved model embedded in a SaaS tool, an agent running on a developer’s local environment, an MCP server provisioned without security review. None of these would show up in a single console. Effective AI governance requires ingesting signals from across your heterogeneous environment: SASE, EDRs, firewalls, cloud platforms, and development toolchains. It then requires correlating those signals into a single, authoritative inventory not a report you pull quarterly, but a live system of record.
